Get SEC registration filings — the legal documents companies file before they can sell new shares. Tracking registrations helps you anticipate future offerings and potential dilution.

Registration types (use the type parameter to filter):

SHELF — Shelf registration. Lets a company sell shares over time (up to 3 years) without filing a new registration each time.
SPA — Equity line. The company sells shares to a single institutional investor on a continuous basis at varying prices.
OFFERING — A new primary offering of shares.
SHARE RESALE — Registers previously issued shares (e.g., from a private placement) so they can be resold publicly.

Other key concepts:

ATM (At-The-Market) — A program where shares are sold gradually at market prices through a sales agent. Use is_atm=true to filter for these.
Baby shelf limit — Companies with public float under $75M can only sell up to 1/3 of their public float in a 12-month period. Use over_baby_shelf=true to find companies subject to this limit.

Useful filters:

effective_status=true — Only show currently effective registrations
min_calculated_raisable_amount / max_calculated_raisable_amount — Filter by how much the company can still raise
bank — Filter by investment bank
form_type — SEC form type (e.g., S-3, S-1, F-3)
